5. Website Use

7. Client Engagements and Statements of Work

A client engagement may be governed by one or more additional documents, including:

  • Master Services Agreements;
  • Statements of Work;
  • proposals;
  • quotations;
  • purchase orders;
  • Order Forms;
  • Service Level Agreements;
  • licensing agreements; or
  • other mutually accepted written agreements.

These documents may define the specific commercial and technical terms of the engagement. Unless otherwise stated in writing, a proposal or quotation is subject to the assumptions, scope, validity period, dependencies, and conditions stated within it. Work outside the agreed scope may require a change request, revised estimate, or additional fee.

8. Client Responsibilities

Successful delivery of technology services may depend on information, access, decisions, approvals, systems, personnel, and third-party services provided by the client. You agree to:

  • provide accurate and timely information;
  • provide necessary access to systems and environments;
  • nominate appropriate points of contact;
  • review and approve deliverables within agreed timelines;
  • provide required content, data, credentials, documentation, and technical information;
  • maintain appropriate backups of your systems and data;
  • ensure that you have the necessary rights to provide materials or data to us;
  • comply with applicable laws and industry requirements; and
  • promptly communicate material changes that may affect delivery.

Delays caused by client dependencies, third-party systems, unavailable resources, or incomplete information may affect project timelines and delivery schedules.

9. Fees, Payments and Taxes

Fees, payment schedules, taxes, expenses, currency, and billing terms will be specified in the applicable proposal, quotation, Order Form, SOW, invoice, or other commercial agreement. Unless otherwise agreed:

  • fees are payable according to the agreed payment schedule;
  • applicable taxes, duties, levies, and governmental charges may be charged in addition to stated fees where required;
  • payment obligations are not dependent on the success of unrelated projects or services;
  • overdue amounts may be subject to applicable interest or collection costs where permitted by law and contract; and
  • third-party licenses, subscriptions, infrastructure, hosting, usage charges, or platform fees may be billed separately.

All payments are subject to the applicable commercial agreement and mandatory rights available under applicable law.

10. Changes to Scope

Technology projects may evolve as requirements become clearer. Where a requested change materially affects:

  • functionality;
  • architecture;
  • technology;
  • deliverables;
  • timeline;
  • resources;
  • security requirements;
  • integrations; or
  • project cost,

3Shadz may require a formal change request or revised Statement of Work. No material change will be treated as included in the original scope unless agreed in writing.

11. Intellectual Property

11.1 3Shadz Intellectual Property

Unless otherwise agreed in writing, 3Shadz retains all rights, title, and interest in its pre-existing intellectual property, including:

  • proprietary software;
  • frameworks;
  • libraries;
  • development methodologies;
  • reusable components;
  • templates;
  • tools;
  • scripts;
  • know-how;
  • architectures;
  • processes;
  • documentation;
  • technical concepts;
  • generic solutions; and
  • other materials developed independently of a specific client engagement.

11.2 Client Materials

You retain ownership of materials, information, trademarks, data, content, documentation, and other intellectual property that you provide to 3Shadz (“Client Materials”). You grant 3Shadz the rights reasonably necessary to use Client Materials solely to perform the agreed services. You represent that you have the necessary rights and permissions to provide such materials.

11.3 Project Deliverables

Ownership and licensing of project-specific deliverables will be governed by the applicable MSA, SOW, Order Form, or other written agreement. Unless expressly agreed otherwise, payment of fees does not automatically transfer ownership of 3Shadz’s pre-existing intellectual property, reusable components, tools, frameworks, methodologies, or third-party materials incorporated into a deliverable.

12. Third-Party Software and Services

Technology solutions may integrate with or depend on third-party services, platforms, APIs, cloud providers, software libraries, AI models, payment processors, hosting providers, or other external technologies. Third-party services may be governed by separate terms and privacy policies.

3Shadz does not control third-party services and cannot guarantee their:

  • availability;
  • performance;
  • security;
  • accuracy;
  • compatibility;
  • pricing;
  • continued operation; or
  • future functionality.

Changes, outages, restrictions, deprecations, or failures of third-party services may affect the functionality of a solution. Where required, the client may need to maintain separate third-party accounts, licenses, subscriptions, or permissions.

13. Artificial Intelligence Services

Where 3Shadz provides artificial intelligence, machine learning, generative AI, LLM, automation, or related services, you acknowledge that AI-generated results may not always be accurate, complete, reliable, unbiased, or suitable for a particular purpose. AI systems may produce:

  • inaccurate information;
  • incomplete results;
  • unexpected outputs;
  • incorrect classifications;
  • outdated information;
  • misleading responses; or
  • results requiring human review.

AI-generated output should be reviewed and validated by appropriately qualified personnel before being used for decisions involving legal, financial, medical, safety, employment, regulatory, or other high-impact matters. Unless expressly agreed in writing, 3Shadz does not represent that an AI solution will produce error-free or fully autonomous results. You remain responsible for determining whether AI-generated or AI-assisted outputs are appropriate for your intended use.

14. Data and Privacy

Your use of the Website and our handling of personal information may be governed by our Privacy Policy, as updated from time to time. Where we process personal data on behalf of a client, the parties may enter into additional data-processing, security, confidentiality, or privacy agreements where appropriate.

You are responsible for ensuring that information and personal data supplied to 3Shadz may lawfully be collected, disclosed, transferred, and processed for the purposes for which it is provided. Nothing in these Terms limits rights or obligations that cannot lawfully be excluded under applicable data protection or privacy laws.

15. Confidentiality

Each party may receive confidential or proprietary information belonging to the other party. Confidential information may include:

  • business information;
  • technical information;
  • source code;
  • product plans;
  • architecture;
  • credentials;
  • pricing;
  • customer information;
  • financial information;
  • security information;
  • intellectual property; and
  • information reasonably understood to be confidential.

Each party agrees to use reasonable measures to protect confidential information and to use it only for legitimate purposes connected with the relevant business relationship. Confidentiality obligations do not generally apply to information that:

  • is publicly available without breach of an obligation;
  • was lawfully known before disclosure;
  • is independently developed without use of confidential information; or
  • is lawfully received from a third party without confidentiality restrictions.

Where a separate confidentiality or non-disclosure agreement exists, that agreement will govern the relevant confidential information.

Clients remain responsible for maintaining appropriate security controls over their own:

  • backups; and
  • user access.

Where an engagement requires specific security standards, controls, certifications, audit requirements, or compliance obligations, those requirements should be expressly documented in the applicable agreement.

To the maximum extent permitted by applicable law, 3Shadz will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of:

  • business opportunities;
  • anticipated savings;
  • goodwill;
  • reputation;
  • data; or
  • business interruption,

arising from or relating to the Website or services, except where such limitation is prohibited by applicable law.

For paid services governed solely by these Terms and without a separate limitation of liability in an applicable agreement, 3Shadz’s aggregate liability arising from the relevant services will not exceed the total fees actually paid to 3Shadz for those services during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation does not apply to liabilities that cannot lawfully be limited or excluded. Where a separate MSA, SOW, Order Form, or service agreement contains a negotiated limitation of liability, that provision will govern the applicable engagement.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless 3Shadz, its directors, officers, employees, contractors, and representatives from third-party claims, losses, damages, liabilities, and reasonable expenses arising from:

  • your unlawful use of the Website or services;
  • your violation of these Terms;
  • your infringement of third-party rights;
  • materials or data supplied by you that you did not have the right to provide;
  • misuse of credentials or access granted to you; or
  • your violation of applicable laws or regulations.

For a specific client engagement, the applicable MSA, SOW, Order Form, proposal, or other signed agreement may supersede these Terms to the extent of any conflict.

Where no separate dispute-resolution mechanism applies, disputes will be handled in accordance with applicable law and the jurisdiction provisions stated in these Terms. Nothing in this section prevents a party from seeking urgent or equitable relief where legally available.
